Role Overview

We are seeking a Legal Operations Manager to support the day-to-day operations of our legal and compliance function. This role is ideal for a paralegal or junior attorney with 5–7 years of experience, preferably within a regulated company (e.g., financial services, fintech, broker-dealer, investment adviser, public company, or similar).

The Legal Operations Manager will work closely with internal stakeholders and external advisors to help manage legal workflows, regulatory filings, contracts, corporate governance, and compliance processes, with particular exposure to securities law and emerging digital asset frameworks.

Key Responsibilities

  • Manage day-to-day legal and compliance operations, including intake, prioritization, tracking, documentation, reporting, and stakeholder coordination.
  • Draft, review, and redline commercial agreements, NDAs, vendor agreements, amendments, corporate documents, and other routine legal materials under the supervision of counsel.
  • Manage contract workflows from intake through negotiation, approval, execution, renewal, termination, and recordkeeping.
  • Support public-company and securities-law compliance, including SEC filings, disclosure controls, corporate communications, and maintenance of required records.
  • Review marketing, website, social-media, investor, and product materials for legal and regulatory compliance.
  • Support regulated businesses and products, including broker-dealer, ATS, transfer-agent, investment-adviser, digital-asset, and fund-related matters.
  • Prepare and maintain governance policies, signature authorities, and corporate records.
  • Manage domestic and international entity governance, including formations, annual filings, organizational charts, beneficial-ownership records, and economic-substance requirements.
  • Support regulatory examinations, audits, licensing matters, KYC/AML requests, due-diligence exercises, and information requests from regulators, auditors, banks, and counterparties.
  • Coordinate privacy, cybersecurity, data-protection, vendor-risk, business-continuity, and insurance matters with relevant internal teams.
  • Support M&A, financings, restructurings, and other strategic transactions, including diligence, document preparation, approvals, and closing management.
  • Develop and maintain policies, procedures, templates, playbooks, approval matrices, and legal knowledge resources.
  • Manage outside-counsel relationships, matter status, legal invoices, budgets, and spend reporting.
  • Help select, implement, and administer contract-management, entity-management, matter-management, and workflow-automation tools.
  • Identify process improvements, establish service metrics, and provide reporting on legal workload, turnaround times, contract status, and risk trends.
  • Serve as a practical point of contact for business teams, resolving routine matters and escalating significant issues to counsel.

Qualifications

  • Paralegal certificate or JD from an accredited institution
  • 5-7 years of relevant legal, paralegal, compliance, or legal-operations experience, preferably within a regulated financial-services, fintech, broker-dealer, investment-adviser, or public-company environment.
  • Experience drafting, reviewing, and managing commercial agreements, corporate documents, and other routine legal materials.
  • Experience in full life-cycle entity management.
  • Familiarity with public-company reporting, securities-law compliance, and corporate governance. 
  • Strong legal research, writing, issue-spotting, and risk-escalation skills.
  • Demonstrated ability to manage multiple workstreams, deadlines, and stakeholders with limited supervision.
  • Excellent judgment, attention to detail, discretion, and commitment to handling confidential information appropriately.
  • Strong written and verbal communication skills, including the ability to translate legal requirements into practical guidance for business teams.
  • Proficiency with contract-management, entity-management, matter-management, document-management, and productivity tools.
  • Demonstrated interest in blockchain, digital assets, securities markets, or financial innovation.
