Robinhood CEO Vlad Tenev recently defended the company's practice of offering tokenized versions of U.S. securities, including AMC Entertainment shares, following public criticism from AMC CEO Adam Aron. Aron characterized the tokenization of his company's stock as "vile" and "inexcusable," questioning the legality of the process. Tenev clarified that Robinhood’s tokenized products are backed one-to-one by underlying shares, functioning similarly to an ETF wrapper to provide global investors with access to U.S. markets. While these digital assets allow international users to participate in dividend distributions, they notably lack the voting rights typically associated with direct equity ownership. Tenev acknowledged that the firm is still refining its approach to managing shareholder voting for these digital instruments. The dispute highlights the growing friction between traditional corporate governance models and the emerging practice of wrapping securities for blockchain-based distribution. As regulators move toward direct, wrapper-less tokenization, Robinhood continues to scale its European offering, which has seen significant growth since its launch last year.
